2. Client Responsibilities

Client Responsibilities and Expectations:

Clients are expected to provide all necessary access, information, and resources required to complete the agreed services.

Clients must respond to requests for information or feedback promptly.

Information/Access Required from Clients:

Access to relevant accounts (e.g., social media, Google Analytics).

Brand guidelines, logos, and other necessary materials

3. Service Details

Scope of Services:

New Results Marketing will provide the agreed-upon digital marketing services as outlined in the proposal or contract. 

Service Delivery Timelines:

Project timelines will be agreed upon at the start of the contract and may be subject to change based on mutual agreement.

4. Payment Terms

Pricing Structure:

Services are billed on a project or monthly basis as outlined in the contract. 

Accepted Payment Methods:

Credit card through stripe.

Payment Schedule:

Payments are due before the start of projects or services or as outlined in the agreement between both parties. 

Late Payment Penalties:

Late payments will incur a 5% late fee per month. After 2 consecutive months of late payments, the contract will end until payment has been made.

5. Billing Policy

Invoicing:

Clients will be invoiced on the first day of each month for ongoing services,  upon completion of milestones for project-based work, and / or at the onset of services. 

Payment Terms:

Payment is due within 1 days of invoice. 

Disputed Charges:

Any disputes regarding charges must be raised within 10 days of the invoice date. Disputes should be directed to [info@newresultsmarketing.com].

Non-Payment:

If payment is not received within the specified terms, services may be suspended until the account is brought current. Clients are responsible for any costs of collection, including attorney fees and court costs if necessary.

6. Confidentiality

Handling of Client Information:

All client information will be kept confidential and used solely for the purpose of delivering the agreed services.

Confidentiality Obligations:

Both parties agree to maintain confidentiality of all proprietary information shared during the course of the engagement.

7. Intellectual Property

Ownership of Created Work:

Clients will own all final deliverables upon full payment.

Rights to Use Deliverables:

New Results Marketing retains the right to use completed projects for portfolio purposes.

Handling of Existing Intellectual Property:

Clients must ensure they have the rights to any content or materials provided for use in the project.

8. Liability and Disclaimers

Limitations of Liability:

New Results Marketing's liability is limited to the amount paid by the client for the services.

Disclaimers of Warranties:

Services are provided "as is" without any warranties, express or implied.

Indemnification Clauses:

Clients agree to indemnify and hold New Results Marketing harmless from any claims arising from the use of the services.

9. Termination

Conditions for Termination:

Either party may terminate the agreement with 30 days written notice. All termination notices can be emailed to info@newresultsmarketing.com

Notice Periods:

Notice must be given in writing via email.

Consequences of Termination:

All outstanding payments must be settled upon termination. New Results Marketing will deliver any completed work up to the termination date.

10. Dispute Resolution

Disputes will be resolved through mediation or arbitration before seeking legal action.

Jurisdiction and Governing Law:

The agreement is governed by the laws of the state of Wisconsin.

11. Amendments

Clients will be notified of any changes 30 days in advance.

14. Refund and Cancellation Policy

Clients may request a refund within 30 days of service commencement if not satisfied with the initial results, subject to the conditions outlined in the agreement.

Cancellation Policy:

Either party may terminate the contract with a 30-day written notice. Upon termination, any outstanding payments for services rendered must be settled.

15. Data Security

We implement industry-standard security measures to protect client data. In case of any data breaches, we will notify affected clients promptly and take appropriate actions to mitigate the impact.

16. Miscellaneous

Force Majeure:

Neither party is liable for failure to perform due to circumstances beyond their control.

Entire Agreement Clause:

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

Severability:

If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Service Level Agreement (SLA)

Service Levels:

New Results Marketing will strive to maintain a high level of service quality and availability. Response times for support requests will be within 24 hours during business days and during business hours which is currently at 9am-4pm.

Support Availability:

Support is available Monday to Friday, 9 AM to 4 PM CST.

19. Client Responsibilities and Cooperation

Timely Feedback:

Clients must provide feedback and approvals within the timeframes agreed upon in the project timeline to avoid delays.

Access to Resources:

Clients are responsible for providing necessary access to accounts, data, and other resources required for the execution of services.

20. Subcontracting

Use of Subcontractors:

New Results Marketing reserves the right to subcontract any part of the services to qualified third parties. The agency will remain responsible for the quality of services provided by subcontractors.

21. Performance Metrics and Reporting

Reporting Frequency:

Performance reports will be provided on a weekly and monthly basis, or the timeframe agreed upon in the contract or proposal, detailing key metrics such as website traffic, conversion rates, and campaign performance.

Metrics Included:

Reports will include metrics relevant to the services provided, such as Cost Per Acquisition, Cost Per Lead, ROI and any other related metric to show the full scope of the campaign's performance.

22. Third-Party Services

Third-Party Tools:

New Results Marketing may utilize third-party services or tools (e.g., Google Ads, Facebook Ads) as part of the digital marketing strategy. Clients are responsible for the costs associated with these services. All additional 3rd party services or tools will be disclosed in the proposal and/or contact and make aware of during product launch call.

23. Limitation of Liability for Third-Party Services

Third-Party Issues:

New Results Marketing is not liable for any issues or disruptions caused by third-party services or platforms. Clients should review the terms and conditions of any third-party services used.


Digital Products Terms and Conditions

By purchasing or accessing any digital products sold by New Results Marketing ("we," "us," or "our"), you ("you," "user," or "customer") agree to the following terms. These terms are designed to protect our intellectual property, clarify your rights as a customer, and ensure a fair and secure experience for both parties.

1. License and Usage Rights

All digital products—including but not limited to the High-Value Client Playbook, downloadable guides, templates, checklists, trainings, and other one-time purchase content—are protected by copyright and intellectual property laws.

When you purchase a digital product from us, you are granted a limited, non-transferable, non-exclusive license for personal or internal business use only.

Most digital products are delivered instantly via a secure download link, email, or access portal.

In some cases, delivery may take up to 24 hours.

Please ensure that your email address at checkout is correct. We are not responsible for delivery issues due to incorrect information provided by the user.

3. Access and Availability

Unless explicitly stated otherwise:

Upon purchase, you have lifetime access to digital products from the date of purchase.

"Lifetime access" refers to the lifetime of the product or platform, not your lifetime or the lifetime of your business.

Access may be revoked at our sole discretion if you violate these terms.

Any disputes will be resolved in the appropriate courts located in Wisconsin.
